Welcome to MyCoFriends’ Terms and Conditions of Use (these “Terms”). This is a contract between you and MyCoFriends, and we want you to understand your rights and our rights before you use the MyCoFriends web application (“App”). We encourage you to take a few moments to read these Terms before using the App because once you access or use the App, you agree to be legally bound by these Terms.
Please also review our Community Guidelines, Cookie Policy, and our Privacy Policy, as they provide important information about your use of MyCoFriends. By accepting this Terms, you also accept the conditions of these documents.
Furthermore, please note that these Terms include details on how claims between you and MyCoFriends are resolved. This may involve an arbitration agreement where disputes are handled through binding arbitration, with some exceptions. If you don’t opt out as indicated in these Terms, you may only pursue claims individually, which means giving up your right to seek relief in court or have a jury trial. In some cases, we may share relevant information with your employer about reported incidents, as explained in our Privacy Policy.

1. MyCoFriends Rules
Before you can use the App, you will need to register for an Account (“Account”). To create an Account, you must:
Please note that we monitor for underage use. If we have reason to believe that you may be underage, we reserve the right to terminate, suspend, or request verification of your Account.
You can create an Account through manual registration, during which your identity will be validated using your company credentials. Unfortunately, you cannot use another person’s MyCoFriends account or share your account with anyone. You are responsible for ensuring that any use of your Account complies with these Terms.
If you decide to stop using MyCoFriends, you can close your Account at any time by contacting us. Your Account will be deleted, but it may take some time for Your Content to be completely removed from the App. Your profile information will be treated in accordance with our Privacy Policy.
To ensure a safe environment, we have human moderators who review content and activity on the App. We reserve the right, at our discretion, to terminate or suspend any Account, restrict access to the App, or take any necessary actions to enforce these Terms.
If you believe we have made a mistake regarding your Account or Your Content, you have the option to appeal our decision within a six-month period. For details on how to appeal and the necessary process, please refer to our Community Guidelines.
2. Types of Content
At MyCoFriends, we encourage users to share their unique qualities and interests in a professional way. There are three types of content on the App:

Your Content
You agree that Your Content must comply with our Community Guidelines, which may be updated from time to time. As Your Content is unique, you are responsible for what you share. You will indemnify, defend, release, and hold MyCoFriends harmless from any claims related to Your Content. Remember, you are what you post!
You should avoid displaying personal contact information, such as your home address or banking information, on your profile. If you choose to share personal information with other users through messaging or other means, it’s at your own discretion. We recommend being mindful of your privacy, just as you would in any other situation.
As MyCoFriends is a community for employees, Your Content may be visible to your colleagues. Therefore, ensure that you are comfortable with what you share before posting. By uploading Your Content on MyCoFriends, you confirm that you have all necessary rights to do so and automatically grant us a non-exclusive, royalty-free, perpetual, worldwide license to use Your Content in various ways. This could include editing, copying, modifying, incorporating it into other works, and making it publicly available.
We may assign and/or sub-license this license to our affiliates and successors without seeking further approval from you.
We are not obligated to store Your Content, so if it’s important, you should keep a copy for yourself.
To prevent unauthorized use of Your Content by other members or outside parties, you authorize us to act on your behalf regarding such violations. This includes the right, but not the obligation, to send takedown notices on your behalf if Your Content is shared or used inappropriately by third parties.
Member Content
Other members of MyCoFriends will also share content via the App. Member Content belongs to the user who posted it and is stored on our servers, displayed at the direction of the user providing the content.
You do not have any rights to other users’ Member Content, and you may only use other users’ personal information to facilitate connections and interactions within MyCoFriends. You may not use other users’ information for commercial purposes, to spam, harass, stalk, or make unlawful threats. We reserve the right to terminate your Account if you misuse other users’ information.
Users are also expected to comply with their employer’s policies and code of conduct while using MyCoFriends.
Any misuse of Member Content or violation of these policies may result in account termination.

Our Content
All content on MyCoFriends, including text, graphics, logos, and other intellectual property, is owned or licensed by MyCoFriends and is protected by copyright and trademark laws . We retain all rights to this content.
We grant you a non-exclusive, limited, personal, non-transferable, and revocable license to access and use Our Content under the following conditions:

No Obligation to Pre-Screen Content
While we don’t have an obligation to pre-screen any of Your Content or any Member Content, we may need to review or remove any content that violates our Terms, including content exchanged in direct messages, to ensure a safe environment for all members.
Use of Recommender Systems
We have developed algorithms to help connect you with colleagues by predicting compatibility based on shared interests and activities. For more information about how these systems work and the main parameters we use, please refer to our Privacy Policy.

We want our users to feel safe and respected in the MyCoFriends community. You can report any abuse or concerns about user behaviour by contacting us. You can also report a user directly from their profile or in a chat by clicking the ‘Block & Report’ option.
We reserve the right to investigate any potential violations of these Terms, including the rights of other users or third parties. We may, at our sole discretion, terminate or suspend any user’s access to the App without prior notice if we find that they have violated these Terms.
If you believe we’ve made a mistake in acting on your account or content, you can appeal our decision within six months by following the appeals process outlined in our Community Guidelines.
User Responsibility and Limitations
You are solely responsible for your interactions with other users of the App. MyCoFriends does not control what users say or do, and we encourage respectful engagement among all members.
In certain cases, such as in response to reports of suspected misconduct, MyCoFriends may investigate claims related to user behaviour. This could include taking necessary actions to ensure user safety and compliance with our policies.
While we strive to create a safe environment, please understand that our monitoring efforts do not guarantee your complete safety, and we cannot be held liable for interactions between users on the platform.
By using MyCoFriends, you agree to release MyCoFriends from any claims or damages that arise from your interactions with other users. This includes, but is not limited to, any actions taken as a result of reported behaviour or content.[AM5] [ph6]
You may not access, tamper with, or use non-public areas of the App or our systems. Scraping or replicating any part of the App without prior consent is expressly prohibited, and such activities may result in termination of your Account.

For information about how MyCoFriends collects, uses, and shares your personal data, please refer to our Privacy Policy. By using MyCoFriends, you acknowledge that we may process your data in accordance with our Privacy Policy.
5. Push Notifications
MyCoFriends may send you push notifications to keep you informed about important updates or activities related to your account. These notifications can include messages about new features, connections with colleagues, or information related to your interactions within the App.
You can manage your preferences for push notifications through your account settings. If you choose not to receive push notifications, please note that you may miss important alerts regarding your usage of MyCoFriends.
6. Disclaimer
The App, our content, and member content are provided to you “as is” and “as available” without any warranty of any kind, either express or implied. This includes, but is not limited to, implied warranties of fitness for a particular purpose or non-infringement. We do not guarantee that any connections made through the App will be compatible or effective.
We strive to keep the App secure and functional; however, we do not warrant that it will always be uninterrupted or error-free, and it may not meet your expectations. Your use of the App is at your own risk, and you are solely responsible for your interactions with other members.
MyCoFriends is not liable for the conduct of any user and does not perform criminal background checks on members. However, we trust that you are in a safe environment, as the App functions within a closed ecosystem limited to your organization. Please exercise caution and report any inappropriate behaviour or content to our moderation team.
7. Limitation of Liability
Neither MyCoFriends nor any of its owners will be liable for any damages, whether direct, indirect, incidental, consequential, special, or punitive. This includes, without limitation, loss of data, income, profit, goodwill, or damage to property, arising out of or related to your access to or use of the App, Our Content, or any Member Content, regardless of the cause, whether based on breach of contract, tort (including negligence), or other legal theories.
This limitation applies even if we were made aware of the possibility of such damages. If you are dissatisfied with the App in any way, your sole remedy is to stop using the App.
You hereby waive any claims arising out of your use of the App. Since some jurisdictions do not allow the exclusion or limitation of certain types of damages, these provisions may not apply to you. If any part of this limitation on liability is found to be invalid or unenforceable for any reason, our total liability shall not exceed one hundred euros (€100).
The limitations of liability outlined herein are fundamental to the agreement between you and MyCoFriends and reflect a fair allocation of risk. The App would not be provided without such limitations, and you agree that these limitations will continue to apply even if found to have failed in their essential purpose. This provision does not apply to liability arising from fraud or fraudulent misrepresentation or any other liability that cannot be limited by applicable law.
8. Indemnity
You are responsible for all actions you take and information you post on MyCoFriends. Therefore, you agree to indemnify, defend, release, and hold harmless MyCoFriends, your employer, along with our partners, licensors, affiliates, contractors, officers, directors, employees, representatives, and agents, from and against any third-party claims, damages (actual and/or consequential), actions, proceedings, demands, losses, liabilities, costs, and expenses (including reasonable legal fees) that arise as a result of or are connected to:
We retain the exclusive right to settle, compromise, and pay all claims or causes of action brought against us without your prior consent. If requested, you will cooperate fully and reasonably with us in the defence of any relevant claim.
This indemnity does not require you to indemnify MyCoFriends for any unconscionable commercial practice or any fraud, deception, false promise, misrepresentation, or concealment of any material fact in connection with the App.

These Terms commence on the date you accept them and continue until terminated in accordance with the provisions outlined herein. You can delete your Account at any time by contacting us.
If MyCoFriends determines, in its sole discretion, that you have breached any portion of these Terms, misused the App, or exhibited conduct that we regard as inappropriate or unlawful (whether on or off the App), MyCoFriends reserves the right to: (a) warn you via email at any address you have provided; (b) delete your User Content; (c) suspend or terminate your Account; (d) notify and/or cooperate with law enforcement authorities for further action; and/or (f) pursue any other action that MyCoFriends deems appropriate. You agree that all terminations for cause shall be made at MyCoFriends’ sole discretion and that MyCoFriends shall not be liable to you or any third party for any termination of your Account.
Termination of these Terms or your Account includes the removal of access to your Account and all related information and content associated with or stored in your Account.
If your account is terminated by you or by MyCoFriends for any reason, all provisions of these Terms that should survive termination shall remain in effect, including, without limitation, ownership provisions, warranty disclaimers, and limitation of liability. Your information will be maintained and deleted in accordance with our Privacy Policy.
11. Governing Law and Forum
Subject to any mandatory laws that may apply in your country of residence, your access to the App, Our Content, and any Member Content, as well as any claims arising from or related to your relationship with MyCoFriends and these Terms, are governed by the laws of the country in which the server hosting MyCoFriends is located.
All claims arising out of or relating to these Terms and/or your relationship with MyCoFriends that are not subject to arbitration, as outlined in the relevant section, will be litigated exclusively in the courts of the country where our server is located. You agree that such courts shall have personal jurisdiction and venue, and you waive any objection based on inconvenient forum. You also agree that you will not file or participate in a class action against us.
12. MyCoFriends
These Terms constitute a binding legal agreement between you as a user (“you”) and MyCoFriends (“we” or “us”). MyCoFriends encompasses the entity that operates this platform and any affiliated companies involved in delivering the services offered to you.
